About The Company
Our client is seeking a Senior Legal Counsel to support legal matters involving property, real estate and hotel-related transactions. This opportunity will suit a commercially minded lawyer with strong technical expertise who enjoys working closely with business stakeholders and taking ownership of complex transactions.
About The Role
Lead and manage the legal aspects of mergers and acquisitions, joint ventures and other strategic transactions involving property and real estate assets.
Draft, review and negotiate transaction documents, including sale and purchase agreements, shareholders' agreements and joint venture agreements.
Oversee legal due diligence and coordinate with internal stakeholders and external advisers throughout the transaction lifecycle.
Provide practical, commercially focused advice on transaction structures, contractual arrangements and legal risks.
Support wider corporate and commercial matters, including company secretarial and governance matters where required.
Exercise sound judgement and confidently advise stakeholders, balancing business objectives with appropriate legal protection.
Requirements
Hong Kong-qualified solicitor, ideally with at least eight years' post-qualification experience.
Strong M&A and joint venture experience, with a demonstrated track record in property or real estate transactions.
Experience gained within a law firm and/or an in-house legal function; exposure to hotel-related transactions would be an advantage.
Ability to manage transactions independently, with strong drafting, negotiation and analytical skills.
Commercially astute, proactive and confident, with the ability to offer clear advice and constructively challenge stakeholders.
Company secretarial and corporate governance experience would be an advantage.
Appointment as a Notary Public or China-Appointed Attesting Officer would be an additional advantage
